Advisory Experience

Project advisory and contract management support to Shanghai Tunnel Engineering Corporation (“STEC”) and its Indian subsidiary, SUCG Infrastructure India Pvt. Ltd., in relation to their metro rail projects in India including Delhi Metro, Mumbai Metro and Chennai Metro and their Delhi-Meerut Rapid Rail Transport project. The scope of work includes advising on day to day legal and commercial issues arising under the main contract, structuring and evaluating bids for sub-contracting various specialized works, and other ancillary areas such as technical specifications, insurance, and labour.

Project advisory and contract management support to NCC Ltd. in relation to the following projects:
– 3 phases of the Bangalore Metro Rail Projects
– Construction of multi-storeyed residential housing units in Bengaluru, Karnataka, being developed by Rajiv Gandhi Rural Housing Corporation Ltd. under the Bengaluru Housing Program.
– Construction of G+2 model dwelling units in Ballari, Karnataka, under the Pradhan Mantri Awas Yojana scheme.
– Construction of New Puttanna Kanagal Theatre and Parking facilities at Jayanagar, Bangalore, being developed by the Bangalore Development Authority
– Construction of two level grade separators with improvements to junction at the intersection of outer ring road and Bangalore-Mysore road, in Bangalore, being developed by the Bangalore Development Authority

The scope of legal advice, opinions, other day-to-day legal advice, and assistance on diverse legal issues that may arise from time to time in the course of NCC’s business initiative. Providing pre-litigation advise and devising a strategy to handle disputes. Assistance in drafting of pleadings and supporting documents before different legal forums. Developed the strategy for protecting the interests of the client in potential arbitration proceedings, structuring and evaluating bids for sub-contracting various specialized works, and other ancillary areas such as technical specifications, insurance, labour, and security.

Deal Of The Year​

Successfully obtained an interim arbitral award for the client to the tune of around Rs. 100 crores. The client is a Concessionaire company developing a national highway in the country. The arbitration against a state government, with the client’s claims being approximately INR 400 Crores. The issue relates to various extra work and prolongation matters during the course of work. The Firm managed to obtain a significant sum of the award amount, in interim proceedings, based on detailing and providing evidence of admissions on part of the claims.

Recent Matters

Successfully represented a leading Chinese state owned infrastructure company, in an international commercial arbitration against a major Indian power plant developer, involving a claim of US $ 1.25 billion. The complicated dispute involves substantial questions pertaining to issues of environmental law procedures in India and consequent apportionment of liabilities between two contractual parties; as well as questions relating to the constituent elements of lump-sum contracts and the law relating to the same; and the liability of an employer to return retention amounts to a contractor even in cases of termination of contract. The firm was instrumental in advancing the case before an Arbitral Tribunal consisting of some of the senior-most retired judges of India and led highly complex and copious evidence in the matter.

Successfully represented a Concessionaire company developing a national highway in eastern India, against a statutory road undertaking, leading to an award of around INR 250 crores. This was a matter with unusual facts, involving complex claims relating to prolongation, reciprocal delays, and questions of change in laws, apart from their quantification. The team also utilized its intricate and in-depth experience in dealing with procedural laws of arbitration and successfully navigated various complicated procedural challenges throughout the arbitration before the arbitral tribunal, as well as before judicial forums.

Successfully represented a state government undertaking in defending a commercial arbitration initiated by the Concessionaire with respect to a DBFOT road development project, involving claims of around INR 700 Crores. The issues involved included questions of implied terms in a state contract, a contractor’s liability to termination payment in cases where Right of Way was not granted, and what theoretically, amounts to a material ‘breach’ in a contract. Only two admitted claims of the Concessionaire, amounting to Rs. 1.35 crores (out of the total claim of Rs. 700 crores) were accepted by the arbitral tribunal.
